Terms of Service

1. Agreement
By creating an account or using the Staffken platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
The Service is operated by PAŞCOVICI ŞERBAN-CONSTANTIN II, a sole trader registered in Romania under registration number F33/571/2019 (EU registration: ROONRC.F33/571/2019).
These Terms apply to all users of the Service, including business account owners, managers, and employees accessing the platform under a business subscription.
2. The Service
Staffken is a SaaS platform that enables businesses to create AI-powered virtual employees trained on company knowledge. The Service includes:
- Tools to build and configure virtual employees with custom knowledge, roles, and personalities.
- A chat interface through which team members interact with virtual employees to get expert answers based on the business's own knowledge.
- An analytics dashboard for tracking usage, knowledge gaps, and team activity.
- Team management tools for inviting and managing employee access.
AI responses are generated by Claude AI, developed by Anthropic. See Section 6 for details on AI-generated content.
3. Accounts
To use the Service, you must be at least 18 years old and have the legal authority to enter into this agreement on behalf of your business. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
You agree to provide accurate, current, and complete information when creating your account and to keep it updated. You must notify us immediately at legal@staffken.com of any unauthorised use of your account.
Each business may maintain one active account. Creating multiple accounts to circumvent usage limits is prohibited.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation.
- Upload content that is illegal, defamatory, harassing, obscene, or that infringes third-party intellectual property rights.
- Attempt to manipulate, mislead, or bypass the AI system's intended behaviour, including through prompt injection or adversarial inputs designed to override the virtual employee's configuration.
- Attempt to gain unauthorised access to any part of the Service or other users' data.
- Resell, sublicense, or redistribute access to the Service without our prior written consent.
- Reverse engineer, decompile, or attempt to extract the source code of the Service.
- Use the Service to generate, spread, or promote misinformation, spam, or malicious content.
We reserve the right to suspend or terminate accounts that violate these restrictions without refund.
5. Knowledge Content
This section explains your rights over content you upload and how we handle it.
- You own all knowledge content you upload. Staffken does not claim ownership of any files, documents, or text you provide.
- By uploading content, you grant Staffken a limited, non-exclusive licence to store, process, and transmit your content solely to provide the Service to your business.
- Your knowledge content is stored securely on Staffken's infrastructure (Supabase, EU servers) and used exclusively to generate answers for your team's chat questions.
- Staffken does not use your knowledge content to train any AI models, including third-party models.
- Staffken does not sell or share your knowledge content with any third party, other than transmitting relevant excerpts to Anthropic's Claude API and OpenAI's embedding API as necessary to generate responses (see Section 6).
- You are responsible for ensuring you have the necessary rights to upload any content and that doing so does not infringe third-party intellectual property rights or applicable law.
- Content sent to Anthropic's Claude API is subject to Anthropic's terms and privacy policy: anthropic.com/legal.
6. AI-Generated Responses
Responses from virtual employees are generated by Claude AI, developed and operated by Anthropic. When a question is asked, relevant excerpts from your knowledge base are retrieved and sent to the Claude API, which generates the response.
Staffken does not guarantee the accuracy, completeness, or fitness for purpose of any AI-generated response. AI responses may contain errors, inaccuracies, or hallucinations. Businesses and team members should verify critical information independently before making business decisions based on AI-generated content.
Staffken is not liable for any decisions made, losses incurred, or actions taken based on AI-generated responses.
7. Payments and Billing
All payments are processed by Stripe, Inc. By subscribing, you authorise Stripe to charge your payment method on a recurring basis per your selected plan.
- The base plan is $20/month and includes 500 chat messages. Additional message credits can be purchased separately.
- Subscription fees are billed monthly in advance. Prices may change with 30 days' written notice.
- Used message credits are non-refundable. Unused prepaid credits from top-up purchases expire if the account is cancelled.
- You may cancel your subscription at any time via the billing portal in your account settings. Cancellation takes effect at the end of the current billing period.
- If a payment fails, we will notify you and provide a grace period to update your payment method before the account is suspended.
- Staffken is not responsible for errors or delays caused by Stripe's payment processing systems.
8. Data and Privacy
Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. We process personal data in accordance with the General Data Protection Regulation (GDPR) and applicable Romanian law.
9. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where possible. Staffken is not liable for downtime caused by factors outside our reasonable control, including third-party outages (Anthropic, Supabase, Vercel, Stripe), force majeure events, or infrastructure failures.
10. Limitation of Liability
The Service is provided "as is" and "as available". To the maximum extent permitted by applicable law, PAŞCOVICI ŞERBAN-CONSTANTIN II shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service.
Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total fees you paid to Staffken in the 3 months preceding the event giving rise to the claim.
Staffken is not liable for business decisions made based on AI-generated responses. All AI output should be reviewed and verified before acting upon it.
11. Indemnification
You agree to indemnify and hold PAŞCOVICI ŞERBAN-CONSTANTIN II harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your knowledge content, or your violation of these Terms.
12. Termination
Either party may terminate the agreement at any time. You may terminate by cancelling your subscription and deleting your account via the account settings. We may suspend or terminate your access immediately, with or without notice, if we believe you have violated these Terms or if required by law.
Upon termination, your right to use the Service ceases immediately. All your data, including knowledge content and chat history, will be permanently deleted within 30 days of account closure. Payment records are retained as required by law.
13. Governing Law
These Terms are governed by the laws of Romania. Any dispute arising from these Terms shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to the competent courts in Romania, unless otherwise required by applicable EU consumer protection law.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the platform at least 14 days before the changes take effect. Continued use of the Service after that date constitutes your acceptance of the revised Terms.
